These Terms of Use (the “Terms”) are an agreement between you and Aspeen Inc. (“Aspeen”, “we”, “us”), the company that operates the OdeCare product and the odecare.com website. They cover the OdeCare equipment, the mobile and web applications, and the related monitoring service (together, the “Services”).
By accepting a written OdeCare order confirmation or using the Services, you accept these Terms. Your order confirmation identifies the package, price, payment schedule, service period, installation arrangements, cancellation terms, warranty, return terms, and market-specific conditions that apply to your purchase. If it conflicts with these general Terms, the order confirmation controls for those commercial details. How we handle personal data is described in our Privacy Policy and Cookie Policy.
1. Who may use the Services
1.1 Age
You must be at least 18 years old to order OdeCare or create an account.
1.2 Consent of the monitored person
OdeCare senses presence and movement in someone's home. Before installation, the person who will live with the sensors must be told about the system and agree to it. This consent is required — by ordering installation, you confirm it has been given. Monitoring anyone without their consent is a breach of these Terms.
1.3 Right to install
You confirm that you may authorise installation at the address — for example, you own the home or have the permission of the person who does.
2. The Services
Depending on the package stated in your order confirmation, the Services may include:
- Camera-free room sensors that provide presence or movement readings without recording video or audio.
- Door, motion, or climate sensors listed in the proposed package.
- A home hub that connects the sensors to the OdeCare service and needs mains power and a home internet connection.
- Application access for viewing supported activity information and configured alerts.
Alerts can follow the contact plan configured for the home through the app, WhatsApp or Telegram, and a phone call. The current sequence, recipient limits, quiet hours, and supported event types must be confirmed during setup. WhatsApp (a Meta service) and Telegram are third-party channels; message delivery depends on their networks and your recipients' settings.
3. What OdeCare is — and isn't
3.1 Not a medical device
OdeCare is a home awareness system. It is not a medical device, a clinical monitoring service, a staffed monitoring centre, or an emergency response service. It provides supported sensor readings and configured alerts. It does not diagnose conditions, measure vital signs, or call an ambulance automatically.
3.2 No guarantee of detection
No sensing system detects every event or guarantees complete accuracy. OdeCare may miss relevant events, generate an alert that does not require action, or be unable to interpret a reading because of placement, occupants, pets, connectivity, or other conditions. Confirm the supported events and known limits for your package.
3.3 In an emergency
Always contact your local emergency services first. Do not wait for an OdeCare alert, and do not rely on OdeCare as your only way of learning that something has happened.
4. Accounts and security
You need an account to use the app. You agree to:
- provide accurate information and keep it up to date;
- keep your credentials confidential and not share your account;
- tell us promptly at hi@odecare.com if you suspect unauthorised access.
You are responsible for activity under your account. We may suspend an account to protect its owner or other users while we investigate a security issue.
5. Ordering, pricing and payment
5.1 Kits
Before payment, OdeCare will provide a written order confirmation identifying the current package, equipment, price, currency, applicable taxes or fees, installation arrangements, service period, and any market-specific conditions.
5.2 Subscription
If the package includes a recurring service, the order confirmation will state the price, billing interval, start date, included features, renewal process, and cancellation terms. Do not rely on an older webpage or proposal for the current subscription terms.
5.3 How payment works
The payment method, amount, due date, and any staged payment terms are stated in the order confirmation. No payment is due merely because you submit a website enquiry.
5.4 The equipment is yours
The order confirmation states whether equipment is sold, leased, loaned, or must be returned when service ends.
5.5 Price changes
We may change prices for future orders. Changes to an active recurring service will follow the notice and cancellation terms in the applicable order confirmation and mandatory law.
6. Returns and refunds
The current return and refund conditions, deadlines, exclusions, removal or shipping responsibilities, and refund method are stated in the order confirmation. Contact hi@odecare.com to request them before purchase. Nothing in these Terms limits mandatory cancellation or consumer rights that apply to you.
7. Hardware warranty
The current hardware warranty period, remedy, exclusions, and claim process are stated in the order confirmation. Any contractual warranty is additional to rights that cannot be excluded under applicable consumer law.
8. Installation and home access
The order confirmation states whether installation is included, who performs it, the planned location, what access and home infrastructure are required, and how completion is accepted. You (or a person you designate) must provide any agreed access and permissions.
The consent described in section 1.2 must be in place before installation begins.
9. Acceptable use
You agree not to:
- monitor anyone without their consent;
- use the Services for any unlawful purpose;
- interfere with the Services or attempt unauthorised access to them or to other users' data;
- resell or commercially exploit the Services without our written agreement;
- reverse engineer our software, except where the law expressly permits it.
10. Service availability
The system depends on your home infrastructure. The hub needs mains power and a working home internet connection; it has no battery and no cellular backup. If power or internet goes down, monitoring stops and the app shows the home as offline — alerts cannot be sent for that period.
Alert delivery also depends on third parties: mobile networks, push notification services, WhatsApp, and Telegram. We work to keep the Services reliable, but we cannot promise uninterrupted operation, and we may briefly pause the Services for maintenance and updates.
11. Intellectual property
Aspeen Inc. and its licensors own the software and content of the Services — the hub firmware, the apps, and the website. Buying a kit makes the hardware yours, but the software is licensed, not sold: you receive a personal, non-exclusive, non-transferable right to use it with your OdeCare system. The OdeCare name and logo belong to Aspeen Inc.
12. Limitation of liability
To the maximum extent permitted by law:
- we are not liable for indirect, incidental, special, or consequential damages;
- we are not liable for losses arising from events the system did not detect, or from alerts that were not delivered, in the circumstances described in sections 3 and 10;
- our total liability under these Terms is limited to the amount you paid us in the 12 months before the claim arose.
Nothing in these Terms excludes or limits liability that cannot be excluded by law — including liability for death or personal injury caused by our negligence, for fraud, or your statutory rights as a consumer.
13. Business pilots (B2B)
Any business pilot is governed by a separate written proposal and agreement defining the pilot scope, product access, data roles, security and privacy terms, support, alert responsibilities, measures, price, and exit process. If that agreement conflicts with these Terms, the separate agreement prevails for that deployment.
14. Termination
You may cancel a recurring service under the cancellation terms in your order confirmation and may request account deletion. We may suspend or terminate your access if you materially breach these Terms and, where the breach can be fixed, do not fix it after we notify you.
Equipment ownership or return is governed by the order confirmation. Sections that by their nature should survive — ownership, intellectual property, limitation of liability, governing law — continue to apply.
15. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or in the app before it takes effect. If you continue using the Services after that, the updated Terms apply. If you disagree with a change, stop using the Services and follow the cancellation terms in your order confirmation.
16. Governing law
These Terms are governed by the laws of the jurisdiction where Aspeen Inc. is established. This does not deprive you of any mandatory consumer protections of the country where you live. If a dispute arises, please contact us first — most issues can be resolved directly.
